欧盟历史上并没有统一的外国投资审查制度,而是由各成员国根据国内法自行确定审查范围、方式。欧盟外国直接投资审查立法目前已取得重大进展,相关立法框架创设了成员国与欧盟的双重审查机制,其审查范围、立法进程对未来向欧盟投资将产生制度性影响,因此受到业界广泛关注。在欧盟外国直接投资审查制度的立法过程中,产业政策一直发挥着不可或缺的重要作用。欧盟通过提出对等性标准,扩大政府“控制”概念的范围,加强了对其他国家产业政策的关注。实现自身产业政策目标是欧盟加强对外资规制权的落脚点:外资审查立法本身是欧盟产业政策的重要组成部分,政策目标上将维护安全和公共秩序与保护产业安全和产业竞争优势相结合,通过对欧盟资助项目的审查帮助实现具体产业政策目标。中国应转变产业政策模式,建立更全面的外国投资审查制度,并通过制度设计选择性地实现产业政策目标,实现产业政策和外资政策的有效互动。
There is no unified foreign investment review system in the history of the EU. Instead, each memberstate makes its own review in accordance with domestic laws. At present, significant progress has been made inthe legal framework for screening foreign direct investment in the EU. The legal framework has created a dualreview mechanism between member states and the European Commission. The legislative process will have aninstitutional impact on future investment in the EU. Industrial policy plays an important role in the legislation.The EU has strengthened its focus on other countries' industrial policies by proposing standards of reciprocityand expanding the scope of the concept of government control. The EU establishes its right to regulate FDIin order to achieve the objectives of its industrial policy. The legal framework for screening foreign directinvestment itself is an important part of the EU's industrial policy. In terms of policy objectives, it combinesnational security, public order and industrial competitive. An indicative list of projects or programs of Unioninterest is included in order to achieve specific industrial policy objectives. China should promote industrialpolicy and establish a more comprehensive FDI review system. In order to make effective interaction betweenindustrial policy and foreign investment policy, the FDI review system could also select some industrial policiesto achieve its objectives.
